TickTalk Commercial Terms of Use
Last Revised & Effective: September 16, 2026 | Operating Entity: TickTalk Tech LLC
1. Legal Scope & Overview
Welcome to TickTalk Tech LLC ("TickTalk," "we," "us," or "our"). These Terms of Use govern all commercial engagements, website usage, OEM/ODM hardware procurement, firmware licensing, and software cloud platform access associated with 4G LTE Kids GPS Smartwatches and parent-managed wearable ecosystems.
This master legal agreement unites our business-to-business (B2B) supply framework with user governance across two operational dimensions:
- Part A — E-Commerce & Global Distribution: Encompasses direct purchases, OEM/ODM wholesale supply contracts, commercial transactions, and bulk device distribution.
- Part B — Device, eSIM & Software Infrastructure: Regulates embedded eSIM provisioning, OTA firmware updates, parent application management, and cloud backup systems (T-Cloud™).
By placing a wholesale purchase order, accessing our e-commerce platforms, or integrating TickTalk hardware into wireless carrier networks, international buyers and authorized distributors agree to strictly adhere to these Terms.
2. B2B & Wholesale Procurement Terms
As a leading developer and manufacturer of child safety wearables, TickTalk Tech LLC provides structured supply chains for retail partners, telecom operators, and bulk procurement clients worldwide.
2.1 Order Processing & Minimum Quantities (MOQ)
Wholesale quotations and OEM custom orders are subject to binding supply agreements. Minimum Order Quantities (MOQs), customized packaging requirements, and regional band configurations (North American vs. International LTE bands) must be confirmed prior to production release.
2.2 IMEI Tracking & Loss Prevention
Every TickTalk smartwatch features a unique International Mobile Equipment Identity (IMEI) number logged in our master provisioning server. In cases of transit loss, unauthorized distribution, or unpaid commercial accounts, TickTalk reserves the legal right to remotely deactivate device IMEIs, rendering cellular communication features inoperable.
3. Hardware & Hardware Compliance Standards
TickTalk hardware is manufactured to meet rigorous international safety, environmental, and telecommunication requirements. Overseas importers and distributors can rely on complete technical documentation for market clearance.
FCC & CE Certified
Fully compliant with SAR exposure limits and RF spectrum emission regulations.
IP68 Waterproofing
Tested for submersion up to 1.5 meters for 60 minutes in freshwater conditions.
RoHS & REACH
Built with non-toxic, hypoallergenic materials safe for prolonged child wrist contact.
4. COPPA & International Data Governance
Protecting children's data privacy is central to our engineering architecture. TickTalk products are designed to strictly comply with the U.S. Children’s Online Privacy Protection Act (COPPA) and international regulations including GDPR-K.
- Zero Open Internet: TickTalk devices do not include open web browsers, social media integrations, or uncontrolled third-party app stores.
- Encrypted Telemetry: All location coordinates, voice messages, and video streams are transmitted via TLS 1.3 AES-256 bit encryption to secure AWS data centers.
- Verifiable Parental Consent: Primary administrator accounts require dual-factor authorization and explicit legal guardian verification before device activation.
5. Software, eSIM & Carrier Integration Terms
TickTalk smartwatches utilize built-in eSIM technology optimized for seamless connection across certified cellular networks. Cellular connectivity requires an active mobile data plan provided by TickTalk Wireless or an authorized mobile network operator (MNO) partner.
Software features including 5MP FaceTalk™ video calls, SmartPin™ real-time GPS tracking, SOS emergency escalation, and TickTalkie™ LTE walkie-talkie functionality rely on network coverage and operational cloud servers. Firmware OTA (Over-The-Air) updates are delivered periodically to ensure network stability and security compliance.
6. Intellectual Property & Trademarks
All proprietary technologies, including SignalBooster 2.0™, FaceTalk™, SmartPin™, TickTalkie™, and T-Cloud™, alongside trade names, casing designs, UI graphics, and patent-pending hardware components, remain the sole property of TickTalk Tech LLC.
Authorized distributors receive a limited, non-exclusive, non-transferable license to market and resell authentic TickTalk products using official media assets provided under contract. Unauthorized re-branding or reverse engineering of device firmware is strictly prohibited.
7. Commercial Warranty SLA & RMA Return Policy
TickTalk stands behind its product durability with industrial-grade quality control standards.
7.1 Standard Manufacturer Warranty
Every genuine TickTalk smartwatch includes a one-year (12-month) limited warranty against manufacturing defects in materials and workmanship from the delivery date. Accessories carry a 90-day limited warranty.
7.2 Return & Replacement Procedure (RMA)
Defective units identified upon receipt or during standard operation under warranty must be authorized via our formal Return Merchandise Authorization (RMA) workflow. Replaced units or warranty-service hardware carry the remainder of the original warranty period.
8. Limitation of Liability
To the maximum extent permitted by applicable international law, TickTalk Tech LLC shall not be liable for indirect, incidental, punitive, or consequential damages resulting from cellular network downtime, GPS signal obstruction by geographical terrain, or unauthorized device tampering by end users. Safety tools such as SOS 911 dialing and location tracking are supplementary communication aids and do not replace direct adult supervision.
